This is a peer-powered royalty-sharing network that puts independent bands at the center of a growing fan economy.

3. How It Works

  3. Share your unique download code with fans at shows.
  4. Earn publishing royalties for every tracked purchased using your code.

📝 SUBMITTING SONGS

  1. Submit your original, registered ASCAP/BMI-eligible songs for review.
  2. If approved, they’re added to our official catalog for other bands to perform.
  3. We track who drives each download – and send you your owner royalties and them their publishing royalties.

4. Royalties and Revenue Breakdown

  • Songs song for $1 each.
  • Paid downloads generate approx. $0.80 in net royalties per $1.
  • Net royalties are split 50/50 between the song’s owner and the performing “publisher.”
  • That means:
    • The band who wrote the song earns 40–45% of the purchase price.
    • The band who drove the download by performing it live also earns 40–45%.
    • The remainder goes to administrative, taxes, and operating costs.

Example:
You perform a song by us or another band → fans pay to download it → you earn royalties.
Another band performs your song → their fans download it → you earn royalties.
It’s a win-win system.

🎼 Catalog Contribution Rules: Fair Use, Fair Rewards

To maintain a balanced, high-quality catalog – and to ensure that all participating artists benefit from shared visibility – song submission privileges are earned, and are not automatic.

Bands May Submit Songs for Catalog Inclusion Based on Performance

  1. One-for-One Rule:
    For every original Lightnin’ Stik Productions song a band actively performs and earns at least 100 verified paid downloads (verified by use of their code), that band earns the right to submit one of their own original songs for review and potential inclusion into our catalog.
  2. Performance Thresholds Apply:
    • Bands must show a minimum influence of 1000 domestic paid downloads per performed song to earn submission rights.
    • This ensures that only active, contributing bands gain the ability to grow from our catalog.
  3. Submission Limits:
    • Bands can submit up to 3 songs maximum per year, regardless of performance.
    • This prevents catalog flooding and bands becoming lost in a sea of music.
    • This keeps attention on quality productions, not quantity, for fan enjoyment.
  4. Ongoing Inclusion Depends on Performance:
    • If a submitted song doesn’t lead to at least 10,000 total paid downloads (via any band’s performance) within 12 months, it may be removed from the active catalog to preserve space and focus on those songs that are trending and achieving popularity.
  5. Catalog Rotation and Spotlight Features:
    • Lightnin’ Stik Productions reserves the right to feature, highlight, rotate, or remove music in the catalog based on performance, fan feedback, and other criteria to ensure visibility and balance.
    • Lightnin’ Stik Productions reserves the right to use contests, competitions, and other marketing options to drive fans to their website, the songs, and the bands.

This system keeps the catalog curated, fair, and performance-driven, while giving all participating bands a real incentive to support each other in a very competitive space.

4A. Catalog Contribution Guidelines: Quality Over Quantity

To protect the integrity of our catalog and ensure that all songs – especially those from Lightnin’ Stik Productions – receive fair visibility, we are introducing catalog contribution controls that reward performance, not just participation.

✅ How Bands Earn the Right to Submit Songs

  • For every Lightnin’ Stik song your band performs that results in at least 1000 verified paid downloads (single or multiple songs total) you may submit one of your own original songs for consideration in the catalog.
  • This “one-for-one” system ensures that participating bands are actively contributing to the growth of the platform before adding to it.

  • Submissions are reviewed for quality and originality before being added to the catalog.

  • Top-performing songs – based on downloads, fan feedback, and frequency of use – may be spotlighted in the catalog to encourage more visibility and adoption.
  • Lightnin’ Stik Productions music will maintain anchor placement in the catalog.
  • Bands with trending songs will be eligible for other spotlight positioning as determined and promoted by Lightnin’ Stik Productions.

  • No money up front for promo campaigns or digital ads.
  • No gatekeepers dictating what who is worthy of top promotion.
  • No playlists that bury you under 10,000 other songs.

Instead, you’re part of a network of bands promoting bands, backed by fans paying for music they hear live at your shows, with the potential of expanding your fan base into regions of the nation where other bands perform your music. It’s simple, direct, and takes the power back from the music industry and gives it back to you, your fans, and a community of loyal music lovers who support local bands, in a way that will revolutionize the way bands “make it” in the future. We foresee this as the formation of a national music scene where bands grow other bands’ fans in a way that allows each band the opportunity to become nationally known without the marketing and touring expenses of the past.


6. Requirements to Join

Whether you’re performing or submitting, YOU:

  • Must agree to our Royalty Participation Agreement and NDA.
  • Songs submitted must be original, properly registered, and cleared for distribution.
  • Bands must carry general liability insurance when performing under this program.
  • You must be willing to promote your custom code for fan purchases.

🎼 ARTIST PARTICIPATION AGREEMENT

(Lightnin’ Stik Productions – “Catalog Access & Royalty Participation”)

1. Purpose

This Agreement establishes the terms by which Artist may participate in Lightnin’ Stik Productions’ shared music catalog system, including the performance of songs owned or managed by the Company or other participating artists, and submission of their own music for inclusion in the catalog.


2. Rights Granted

2.1 Performance Rights

Artist is granted non-exclusive rights to publicly perform songs from the shared catalog for the purpose of promoting downloads through their unique code.

2.2 Submission Rights (One-for-One Rule)

For every Company-owned song Artist performs and successfully influences 1000 paid U.S.-based downloads, Artist earns the right to submit one (1) original song for inclusion in the catalog, subject to review.

2.3 Royalty Participation

Artist shall be entitled to 40–45% of the net publishing royalties generated by downloads directly influenced by their performances, as tracked via unique codes. Where Artist’s original song is included in the catalog, Artist shall receive 40–45% of the net owner royalties from downloads regardless of which band drove the downloads.


3. Catalog Submission Terms

3.1 Song Limit

Artist may submit no more than three (3) original songs per 12-month period. All submissions must be fully original, properly registered (e.g., ASCAP, BMI), and free of any third-party claims.

3.2 Performance Threshold

If a submitted song does not achieve at least 10,000 paid downloads in the U.S. within 12 months, Lightnin’ Stik Productions reserves the right to remove or archive the song from the active catalog.

3.3 Review & Removal Rights

Lightnin’ Stik Productions reserves the right to reject, remove, or suspend catalog entries at its discretion, including for low performance, legal concerns, poor audio quality, or community feedback.


4. Use of Artist’s Likeness

By signing this Agreement, Artist grants Lightnin’ Stik Productions permission to use their band name, logo, and publicly available likenesses for promotional use related to the shared catalog, provided such use is not defamatory or misleading.


5. No Employment or Ownership Rights

This Agreement does not create an employment, agency, or ownership relationship between the Artist and the Company. Artist is not entitled to wages, shares, voting rights, or any equity in Lightnin’ Stik Productions.


6. Term & Termination

  • This Agreement remains in effect for three (3) years from the Effective Date unless terminated earlier in writing by either party.
  • Either party may terminate with a 30 days’ written notice to the other party.
  • All earned royalties prior to termination will remain payable according to this Agreement’s terms.

7. Limitation of Liability

Lightnin’ Stik Productions will make reasonable efforts to track downloads and distribute royalties, but offers no guarantees of performance, financial success, or catalog inclusion. Artist agrees to hold the Company harmless from any damages, losses, or claims resulting from participation in the program.


8. Indemnification

Participants agree to carry liability insurance and to indemnify Lightnin’ Stik Productions from any and all liability for their use of music contained in the catalog, for the music they submit for inclusion in the catalog, violations of this contract or the NDA agreement, including intellectual property and copyright infractions, as well as any and all other harms resulting from participation in this model.


9. Governing Law

This Agreement shall be governed by the laws of the State of Colorado, United States.

🔒 MUTUAL NON-DISCLOSURE AGREEMENT (NDA)

1. Purpose

The Parties agree to maintain the confidentiality of shared materials and protect each other’s intellectual property, business plans, and non-public royalty methods.


2. Confidential Information

“Confidential Information” includes all non-public business plans, strategies, royalty structures, download tracking methods, marketing systems, song data, artist information, and any unpublished material disclosed verbally or in writing.


3. Obligations

Each Party agrees:

  • To keep Confidential Information private and not disclose it to third parties;
  • Not to use Confidential Information for any purpose outside the scope of this relationship;
  • To return or destroy all Confidential Information upon request or termination.

4. Exceptions

This Agreement does not apply to information that:

  • Is or becomes public through no fault of the receiving party;
  • Was lawfully known before disclosure;
  • Is disclosed with written consent;
  • Is required by law or court order (with prior notice).

5. Term

This NDA remains in effect for 3 years from the Effective Date.


6. No License

No ownership or license is transferred under this NDA.


7. Governing Law

This NDA shall be governed by the laws of the State of Colorado, United States.

SUMMARY
This is a plan to test the interests of fans to engage new fans to purchase permanent single or album downloads from online digital download platforms with the goal of achieving Gold record status for our music catalog. Chosen fans will work together and independently to engage new fans into purchasing music under a three to five year publishing agreement. Rather than funding digital promotions and paying PR agencies, we are testing the viability of fan engaged publishing to drive music download sales.

To achieve Gold record status, 500,000 paid permanent downloads inside the United States (the downloads must be domestic and verifiable) must be obtained. This purchasing data is accumulated by the digital download platforms everywhere music is downloading and the royalties are distributed to Lightnin’ Stik Productions. The net royalties are about eighty-percent of the purchase price, generally $1.00, and after expenses that can be ten to twenty percent are paid, the balance of the royalties are split equally between the owners and the publishers fifty-fifty, with forty-percent or more counted as publishing royalties to be paid to the member fans who promote us. The current music catalog contains nearly twenty singles and one full-length album. The album will achieve Gold with 500,000 paid downloads of any of the sixteen songs contained on it. The singles require 500,000 paid downloads of that single. With the current catalog of nearly twenty singles, 10,000,000 paid downloads would bring a Gold record status to each single and generate a potential of $10,000,000 in downloadable sales. There is an immediate potential for fans to share $4,000,000 in publishing royalties.

We are “testing the waters” to determine the potential of exploiting this model further for financial gain. Future growth depends on fan engagement and the data established during this trial period will be used to determine the viability of this model and our determinations may or may not be made public. This Prospectus is centered on an initial three-year period for influencing paid downloads with longer periods of time based on performance. No other opportunities are being expressed in this Prospectus. There are no employment rights and Lightnin’ Stik Productions reserves the right to deny, suspend, or revoke any royalty agreement for any reason it deems appropriate. There is no agreement to allow voting rights, stocks, commissions, wages, or any other payments other than publishing royalties at this time.

THE RISKS
This Prospectus is highly speculative as it only highlights the ideas and possibilities of our idea, puts forth the initial steps of action, and is an early vision that may not perform as suggested by our calculations. Bear in mind that there may be factors beyond our control that may cause all of your efforts to be in vain, leaving this company insolvent, and you without any recourse for compensation, losses, or damages.

We cannot guarantee that all the royalties owed to any individual fan will be fair and proper, so we are going to distribute the royalties as a pool among all member fans, fans who sign up and get involved. These royalties are taxable, so we may pay the taxes on them prior to distribution, which will reduce the percentage of royalties somewhat more. We feel this is better than collecting everyone’s sensitive information. We may cause that the royalties me distributed at events during live shows or in other ways that benefit the member fans. Member fans do not gain voting rights, even though, we will utilize a system of voting in most cases.

FANS
A Fan acts as a publisher of our music and uses their influence and resources to drive consumers to purchase downloads of our music with the goal of achieving Gold record status. Fans agree to provide insurance to protect themselves, us, and other participants, including artists, fans, and associates, from risk and liability for any and all damages from our music, merchandise, shows, events, and your (the fan’s) actions, fairness, and interaction with the public on our behalf.

MUSIC SUCCESS DRIVEN BY FANS
Let’s face it, rising stars are often without funds to promote their music and fans are left never knowing about the big hits that never got heard. The power of the music industry has shut the doors on small artists and has made getting any large scale public or social exposure impossible. Fans are still the life blood behind the success of any artist and reaching them is what makes or breaks an artist’s career. Fans support the artists they choose and make it possible for an artist to achieve Gold records, not the music industry. We believe it is time for fans and artists to push aside the middle man and establish a new way for artists to obtain stardom. A three-year publishing agreement window allows fans to receive royalties like a publisher. Where any single is certified Platinum, we will extend the royalties period to five years. If Diamond status is reached, we will extend the royalties period for ten years. This is to make sure fans receive every future royalty generated by downloads resulting from the Gold record status they created.

The future of an artist gaining Gold record status lies in fostering stronger and more intimate connections with their fans. Social media and streaming intermediaries remove this connection and emerging artists are lost in a sea of unknowns as a result. By empowering fans to facilitate the growth of an artist’s success, this model will challenge the paradigm shift in the music industry by moving away from digital intermediaries to embrace the intimate connection of fans engaging fans for the success of unknown artists becoming known everywhere.

THE FAN-NOMICS
This is a performance-based program. In short, one download equals one dollar and the net royalty is about eighty cents. These royalties are split equally between the owners and publisher, with about forty-percent going to the publishers. The more downloads a fan influences, the more publishing royalties they are eligible to receive. Should fans influence enough downloads to cause a song to receive Platinum status, the three-year royalties period will be increased to five years to all these fans the opportunity to receive “piggy-back” royalties generated off of the Gold record status of the singles. Likewise, where a singles reaches Diamond record status, the five year period will be extended to ten years. Piggy-back royalties would generally be pooled and split among responsible fans as a whole.

To achieve Gold record status, 500,000 paid permanent downloads inside the United States (the downloads must be domestic and verifiable) must be obtained. This purchasing data is accumulated by the digital download platforms everywhere music is downloading and the royalties are distributed to Lightnin’ Stik Productions. The net royalties are about eighty-percent of the purchase price, generally $1.00, and is split equally between the song owner and the publisher (fans), with an average of forty to forty five percent of the total royalties going to the publisher or fans prior to taxes. The current music catalog contains nearly twenty singles and one full-length album, for a potential of $10,000,000 in downloadable sales. There is an immediate potential for fans to share $4,000,000, pre-tax.

While streams are always a good thing, it takes far more streams to reach a Gold than downloading paid and permanent singles. In fact, it may take as many as 150 streams to count as one paid download. While we encourage the use of streaming to expose consumers to our music, we are focused on achieving Gold record status and the shortest route from A to B is 500,000 paid downloads. For example, say fifty fans cause 10,000 verifiable “domestic” downloads for each single … the proceeds will be shared with those fans as member fans. Downloads are counted only if they occur inside the United States.

IMMEDIATE DISTRIBUTIONS
Initially, there will be a pool of publishing royalties that will be divided among the total number of signed up member fans as we see best after considering the votes of the fans on the matter. We foresee VIP style shows with cash money for all member fans.

Accordingly, fans must agree not to sue or drag our system failures into the media during this trial period as these acts would be counter productive to our success overall and may result in our insolvency leaving you with no remedy for your claimed losses or damages. Even though we will make every effort to remedy issues as they arise, some damages may occur and their may be no data to support recovery for them. Please do not if you are join us if you are not able to ignore these losses or damages as growing pains of establishing a company; a company where fans may be offered positions for hire in the future, with no guarantees.

These are the immediate risks and there may be other risks that are not covered in this Prospectus as they may not have been foreseen while weighing all the different scenarios that may arise once we place this rock in motion (rock n roll).

FUTURE GROWTH
Future growth depends on fan engagement and the data established during this “testing of the waters” period. This Prospectus is centered on an initial three-year period for influencing paid downloads with longer periods of time based on performance. No other opportunities are being expressed in this Prospectus. There are no employment rights established. Fans may be approved to act as publishers for Lightnin’ Stik Productions, but Lightnin’ Stik Productions reserves the right to deny, suspend, or revoke any royalty agreement for any reason it deems appropriate at any time. There is no agreement to allow voting rights, stocks, commissions, wages, or any other payments at this time. There are no rights authorized by this Prospectus or the Royalty Agreement, other than, publishing royalties.
