SUMMARY
This is a plan to test the interests of 50 fans to engage 10,000 new fans to purchase permanent single or album downloads from online digital download platforms with the goal of achieving Gold record status for our music catalog. Chosen fans will work together and independently to engage new fans into purchasing music under a three to five year publishing agreement. Rather than funding digital promotions and paying PR agencies, we are testing the viability of fan engaged publishing to drive music download sales.
To achieve Gold record status, 500,000 paid permanent downloads inside the United States (the downloads must be domestic and verifiable) must be obtained. This purchasing data is accumulated by the digital download platforms everywhere music is downloading and the royalties are distributed to Lightnin’ Stik Productions. The net royalties are about eighty-percent of the purchase price, generally $1.00, and are split equally between the owners and the publishers (fans), with forty-percent royalties going to the publishers (fans). The current music catalog contains nearly twenty singles and one full-length album. The album will achieve Gold with 500,000 paid downloads of any of the sixteen songs contained on it. The singles require 500,000 paid downloads of each single. With the current catalog of nearly twenty singles, 10,000,000 paid downloads would bring a Gold record statuts to each single and generate a potential of $10,000,000 in downloadable sales. There is an immediate potential for 50 fans to share $4,000,000 in publishing royalties over three years.
We are “testing the waters” to determine the potential of exploiting this model further for financial gain using other music from emerging artists. Future growth depends on fan engagement and the data established during this trial period will be used to determine the viability of this model and our determinations may or may not be made public. This Prospectus is centered on an initial three-year period for influencing paid downloads with longer periods of time based on performance. No other opportunities are being expressed in this Prospectus. There are no employment rights and Lightnin’ Stik Productions reserves the right to deny, suspend, or revoke any royalty agreement for any reason it deems appropriate. There is no agreement to allow voting rights, stocks, commissions, wages, or any other payments other than publishing royalties at this time.
THE RISKS
This Prospectus is highly speculative as it only highlights the ideas and possibilities of our idea, puts forth the initial steps of action, and is an early vision that may not perform as suggested by our calculations. Bear in mind that there may be factors beyond our control that may cause all of your efforts to be in vain, leaving this company insolvent, and you without any recourse for compensation, losses, or damages.
You should NOT do this if you have less than 1000 fans that you can influence. Publishing royalties do not add up very fast and with a verifiable 1000 paid downloads, you are only eligible for $400. FANS
A Fan acts as a publisher of our music and uses their influence and resources to drive consumers to purchase downloads of our music with the goal of achieving Gold record status. Fans agree to provide insurance to protect themselves, us, and other participants, including artists, fans, and associates, from risk and liability for any and all damages from our music, merchandise, shows, events, and your (the fan’s) actions, fairness, and interaction with the public on our behalf.

Let’s face it, rising stars are often without funds to promote their music and fans are left never knowing about the big hits that never got heard. The power of the music industry has shut the doors on small artists and has made getting any large scale public or social exposure impossible. A three-year publishing agreement window allows fans to receive royalties like a publisher. Where any single is certified Platinum, we will extend the royalties period to five years. If Diamond status is reached, we will extend the royalties period for ten years. THE FAN-NOMICS
This is a performance-based program. In short, one download equals one dollar and the net royalty is about eighty cents. These royalties are split equally between the owners and publisher, with about forty-percent going to the publishers. The more downloads a fan influences, the more publishing royalties they are eligible to receive. Should fans influence enough downloads to cause a song to receive Platinum status, the three-year royalties period will be increased to five years to all these fans the opportunity to receive “piggy-back” royalties generated off of the Gold record status of the singles. Likewise, where a singles reaches Diamond record status, the five year period will be extended to ten years. Piggy-back royalties would generally be pooled and split among responsible fans as a whole.

While streams are always a good thing, it takes far more streams to reach a Gold than downloading paid and permanent singles. In fact, it may take as many as 150 streams to count as one paid download. While we encourage the use of streaming to expose consumers to our music, we are focused on achieving Gold record status and the shortest route from A to B is 500,000 paid downloads influenced by 50 fans driving 10,000 verifiable “domestic” downloads for each single, multiplied by twenty singles. Downloads are counted only if they occur inside the United States.
IMMEDIATE DISTRIBUTIONS
Initially, there will be a pool of publishing royalties that will be divided among 50 fans as the technology is not there to track individual sales at this time. What we do have access to are distribution reports that update us as to the number of streams and downloads have occurred for the day or week or period we set. These reports break data into a number different aspects even the percentage of downloads per area or region we set. The calculations of royalties will get murkier where fans are influencing consumers widespread and we suggest that fans rather engage new fans in their location or region, so we can best determine the royalties to distribute to you. Wide spread downloads, downloads that overshadow other fans, and royalties that are contested by more than one fan will go into a pool and distributed among all fans according to the percentage of over all downloads each causes to occur. Where we are unable to make determinations with certainty, the royalties will go into another pool and distributed during the show or used to enhance the concerts experience for the fans who attend.
Accordingly, fans must agree not to sue or drag our system failures into the media during this trial period as these acts would be counter productive to our success overall and may result in our insolvency leaving you with no remedy for your claimed losses or damages. Even though we will make every effort to remedy issues as they arise, some damages may occur and their may be no data to support recovery for them. Please do not participate if you are not able to ignore these losses or damages as growing pains of establishing a company; a company where fans may be offered positions for hire in the future.
These are the immediate risks and there may be other risks that are not covered in this Prospectus as they may not have been foreseen while weighing all the different scenarios that may arise once we place this rock in motion (rock n roll).
